Development and Service Delivery
Services are performed according to the milestones and specifications set out in the Agreement. We apply professional judgment and commercially reasonable efforts when delivering services. Timelines may depend on client cooperation and timely provision of information.
Proposal and Scope
Proposals remain valid for 30 days unless otherwise stated. If not accepted within that period, we reserve the right to revise or reissue the proposal.
The scope of work is defined in the Agreement. Work outside the agreed scope may require written approval.
Fees, Expenses, and Taxes
Unless expressly included in the Agreement:
- Third-party costs are billed separately.
- Reasonable project-related expenses may be charged at cost.
- The client is responsible for applicable taxes associated with the services.
Payment Terms
Invoices are payable within five (5) days of issue unless otherwise agreed in writing. Payments may follow a milestone-based schedule as defined in the Agreement.
Changes to Scope
All change requests must be submitted in writing.
Minor adjustments that do not materially affect timelines or pricing may be accommodated without formal amendment. Substantial changes that impact scope, budget, or schedule require a supplemental agreement.
Where proposals or revised scopes are submitted, acceptance should occur within fourteen (14) working days unless otherwise agreed.
Delays
If delays occur due to the client’s failure to provide materials, approvals, or feedback, delivery timelines will be extended accordingly on a day-for-day basis.
If delays arise on our side, we will notify the client promptly and work to minimize impact.
Events beyond reasonable control, including force majeure circumstances, will not constitute breach and may extend timelines appropriately.
Evaluation and Acceptance
Before submission, we conduct internal checks to ensure quality and consistency.
Upon delivery, the client has seven (7) working days to review the Deliverables and provide feedback. If revisions are required within the agreed scope, they will be addressed within a reasonable timeframe.
Absence of feedback within the review period may be treated as acceptance.
Client Responsibilities
The client agrees to:
- Provide accurate and lawful materials
- Ensure that submitted content does not infringe third-party rights
- Review and approve Deliverables promptly
- Arrange necessary third-party approvals where required
Unless otherwise agreed, final proofreading responsibility rests with the client.
Accreditation and Promotion
Unless agreed otherwise, we may include a factual accreditation reference related to the services performed. We may also reference completed work in our portfolio. Neither party will unreasonably restrict accurate, factual references.
Confidentiality
Both parties agree to maintain the confidentiality of non-public information exchanged during the course of the engagement.
This obligation does not apply to information that is publicly available, independently obtained without breach, or required to be disclosed by law.
Relationship of the Parties
cybers-consultants.com acts as an independent contractor. Nothing in these Terms creates a partnership, employment relationship, or joint venture. No exclusivity applies unless agreed in writing.
We may engage subcontractors where appropriate, while retaining responsibility for the services delivered.
Limitation of Liability
To the extent permitted by applicable law, services are provided on an “as is” basis. Our total liability in connection with any claim is limited to the amount paid for the specific services giving rise to the claim.
Rights in Work Product
Upon full payment, the client receives a non-exclusive, worldwide, perpetual license to use the Final Deliverables as agreed.
Company Tools and underlying methodologies remain the property of cybers-consultants.com unless explicitly transferred in writing. Unauthorized modification or redistribution beyond the agreed scope is not permitted.
Support Services
Ongoing support is provided only where explicitly agreed. Additional support may be billed separately. Any warranty may be void if Deliverables are altered by third parties without authorization.
Updates to Terms
We may revise these Terms and Conditions from time to time. The version published on cybers-consultants.com at the time of use governs the relationship. Continued use of the website or services indicates acceptance of the updated terms.
